1. Acceptance of Terms

Welcome to Sprawl, a product of Sprawl ("Company," "we," "us," or "our"). By accessing or using Sprawl ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms apply to all users, visitors, and others who access or use the Service.

2. Description of Service

Sprawl is an AI-powered productivity assistant that helps users automate tasks, manage integrations, and interact with various third-party tools and services through a unified chat interface. The Service includes:

• AI-assisted task automation and execution
• Integration with third-party services and applications
• Document creation and management
• Automation execution
• Prompt library and customization features

3. User Accounts

To use certain features of the Service, you must create an account. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

We use Clerk for authentication services. By creating an account, you also agree to Clerk's terms and conditions.

4. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to systems or data
• Engage in spam, phishing, or fraudulent activities
• Generate content that is illegal, harmful, or abusive
• Circumvent any rate limits or usage restrictions
• Reverse engineer or attempt to extract the source code
• Use the Service for competitive analysis

5. Third-Party Integrations

The Service allows you to connect to third-party applications and services ("Integrations"). When you enable Integrations:

• You authorize us to access and act on your behalf within those services
• You are responsible for complying with those services' terms of use
• We are not responsible for the actions, content, or policies of third-party services
• You can revoke Integration access at any time through your account settings

We use Composio to facilitate many of our Integrations. Your use of Integrations is also subject to Composio's applicable terms.

6. AI-Generated Content

The Service uses artificial intelligence to generate responses, execute tasks, and create content. You acknowledge that:

• AI-generated content may not always be accurate, complete, or appropriate
• You are responsible for reviewing and verifying all AI-generated outputs
• We do not guarantee the accuracy or reliability of AI-generated content
• AI responses should not be considered professional advice (legal, medical, financial, etc.)
• You retain responsibility for any actions taken based on AI outputs

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Sprawl and is protected by copyright, trademark, and other intellectual property laws.

Content you create or upload through the Service remains yours. By using the Service, you grant us a limited license to process your content as necessary to provide the Service.

8. Payment Terms

Certain features of the Service require payment. By subscribing to paid features:

• You agree to pay all applicable fees and charges
• Subscriptions automatically renew unless canceled before the renewal date
• Credits are non-refundable and non-transferable
• We may change pricing with reasonable notice
• You are responsible for all taxes associated with your use

Payments are processed through Stripe. Your payment information is subject to Stripe's terms and privacy policy.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including:

• Breach of these Terms
• Fraudulent, illegal, or harmful activity
• Non-payment of fees
• Extended period of inactivity

You may terminate your account at any time through your account settings or by contacting us.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KS ELEVATED SOLUTIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Sprawl and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of or related to your use of the Service or violation of these Terms.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last updated" date.

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
